1. Agreement
By accessing or using CompanyWisp, you agree to these Terms of Service and our Privacy Policy. If you use CompanyWisp for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services.
2. CompanyWisp and participating products
CompanyWisp provides shared identity, account linking, billing, payment-status, and entitlement services for participating products such as PortWisp, ReplyWisp, and ProcessWisp. Each product remains responsible for its own product-specific resources, content, usage metering, memberships, roles, and authorization decisions.
A CompanyWisp login identifies you. It does not by itself grant membership in a product account, establish authority to purchase for an organization, or prove that a paid entitlement is active.
3. Accounts and security
You must provide accurate information, keep your sign-in methods and devices secure, and promptly notify us of suspected unauthorized access. You may not transfer, sell, or share access in a way that defeats product membership, security, or plan limits.
CompanyWisp may use third-party sign-in providers such as Google. Your use of a third-party provider is also governed by that provider's terms. Participating products maintain separate local sessions, and signing out of one product may not sign you out of CompanyWisp or another product unless the interface says so.
4. Organizations and authority
Product accounts and billed accounts may have owners, administrators, members, and other roles. You may start purchases, change plans, manage payment methods, or enable usage charges only when you have the required authority for the billed account. You are responsible for actions taken by people to whom you grant an administrative or billing role.
5. Paid services, renewals, and usage charges
A checkout or plan-change screen will show the applicable product, plan, price, currency, billing interval, and whether renewal is automatic before you confirm a purchase. Recurring subscriptions renew at the displayed cadence until canceled or otherwise changed. Paddle processes payments and may present additional payment terms during checkout.
Some plans allow optional automatic charges when measured usage exceeds an included allowance. Those charges require explicit consent and are limited to registered meters, prices, currencies, and any displayed caps. A participating product reports usage quantities; CompanyWisp determines the charge from its catalog. You may disable future automatic usage charges, but an already accepted charge may continue to completion.
Taxes may be added where required. Except where the checkout, a product-specific policy, or applicable law says otherwise, fees already paid are nonrefundable. Canceling prevents future renewals but does not retroactively undo completed charges.
6. Credits and billing exceptions
CompanyWisp may apply account credits or billing exceptions. Credits are promotional or service accommodations, have no cash value, are not transferable between unrelated billed accounts or currencies, and may expire or be reversed if issued in error, except where prohibited by law. A billing exception that preserves premium access without charging a card does not create a right to continued free service.
7. Acceptable use
You may not use CompanyWisp or a participating product to:
- break the law, infringe rights, or facilitate fraud or abuse;
- access another person's identity, account, billing data, or product resources without permission;
- bypass security, quotas, plan enforcement, payment controls, or access restrictions;
- probe, scan, disrupt, overload, or reverse engineer the services except where law expressly permits;
- submit malicious code or interfere with other customers; or
- misrepresent your identity, authority, affiliation, or payment status.
We may investigate violations and suspend or restrict access when reasonably necessary to protect users, services, providers, or the public.
8. Your content and product data
You retain your rights in content and product data you submit. You grant CompanyWisp and the applicable product the limited rights needed to host, transmit, secure, and process that information to provide the requested service. You are responsible for having the rights and permissions needed to submit it.
9. Our software and intellectual property
CompanyWisp, participating product branding, and service software are protected by intellectual-property laws. These terms give you a limited, revocable, nonexclusive, nontransferable right to use the hosted services as intended. They do not transfer ownership or permit you to use our names, logos, or marks without permission.
10. Third-party services
The services rely on providers such as Google, Google Cloud, and Paddle and may link to other third-party services. We are not responsible for third-party services, content, or policies, and their availability may affect CompanyWisp.
11. Changes, suspension, and termination
We may modify services and these terms as products evolve. We will provide reasonable notice of material changes when appropriate. You may stop using the services at any time and may cancel recurring billing through the available billing controls. We may suspend or terminate access for material breach, security risk, nonpayment, unlawful conduct, or when required by a provider or law.
Provisions that by their nature should survive—such as payment obligations, intellectual-property provisions, disclaimers, limits of liability, and dispute terms—continue after termination.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANYWISP AND PARTICIPATING SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANYWISP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID THROUGH COMPANYWISP FOR THE AFFECTED SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LAW PROHIBITS THEM.
14. Governing law and disputes
These terms are governed by the laws of the State of California, excluding its conflict-of-law rules. State and federal courts located in California will have exclusive jurisdiction over disputes, except where applicable consumer law gives you a right to bring a claim elsewhere.
15. General terms
These terms and incorporated policies are the agreement between you and CompanyWisp concerning these services. If one provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them as part of a business reorganization or transfer.
